Terms of Service
These Terms of Service ("Terms") govern your access to and use of the FIO-PAYPATH software and website (collectively, the "Service"), operated by FIO-Paypath, LLC ("Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

When creating an account or upgrading your subscription, you will be required to check a box confirming: "I have read and agree to the Terms of Service and Privacy Policy." This constitutes a binding legal agreement. If you do not agree, you may not use the Service.

FIO-PAYPATH is a software tool for informational and cash-flow tracking purposes only. It does not provide certified financial, tax, investment, or legal advice. The projections, calculations, and insights generated by the platform are estimates based on data you provide and are not guarantees of future financial outcomes. Users assume 100% of the risk for their personal financial decisions. FIO-Paypath, LLC, its founders, employees, and affiliates are not licensed financial advisors or certified public accountants and shall not be held liable for any financial decisions made in reliance on information provided by this platform. Always consult a qualified financial professional before making significant financial decisions.
1. Acceptance of Terms
By registering for or using FIO-PAYPATH, you confirm that you are at least 18 years of age, have the legal authority to enter into this agreement, and have read and agree to these Terms and our Privacy Policy. If you are using the platform on behalf of a business or household, you represent that you have authority to bind that entity.
2. Description of Service
FIO-PAYPATH provides a personal cash-flow tracking and financial planning platform that allows users to:
- Log and track income sources, paycheck schedules, and recurring expenses
- View projected cash flow across configurable time horizons
- Use Manual Bank Snapshot through statement imports; Plaid-powered Instant Bank Snapshot is Coming Soon
- Set and track savings goals, debt payoff plans, and budget categories
- Receive AI-generated spending insights and anomaly alerts
The Service is provided "as is" and is subject to change without notice. We reserve the right to add, modify, or discontinue any feature at any time.
3. Subscription Plans & Billing
FIO-PAYPATH offers Free, Plus, and Pro subscription tiers. Paid plans are billed on a weekly, monthly, or annual basis as selected at checkout. All payments are processed through Stripe.
- Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial billing periods.
- Upgrades/Downgrades: Plan changes take effect immediately. Upgrades are prorated; downgrades take effect at the next billing cycle.
- Free Tier Limits: The Free tier is limited to 3 income sources and 9 expense entries. Exceeding these limits requires upgrading to a paid plan.
- Price Changes: We reserve the right to change subscription pricing with 30 days' notice. Your continued use after the effective date constitutes acceptance.
3a. Subscription Pausing
Paid subscribers (Plus and Pro) may pause their subscription for a period of one (1) or two (2) months via the account Settings dashboard. The following terms apply to paused subscriptions:
- Billing Suspension: During a pause period, recurring billing is suspended. No charges will be processed for the duration of the selected pause window.
- Feature Access: Access to Plus and Pro features (including AI insights, reports, forecasting, automation rules, and advanced analytics) is restricted during the pause period. The dashboard will operate in read-only mode.
- Data Preservation: All user data, financial history, settings, and configurations are fully preserved during the pause period and remain accessible in read-only form.
- Auto-Resume: Billing automatically resumes at the end of the selected pause window unless the user manually resumes earlier or cancels the subscription before the pause period ends.
- Early Resume: Users may resume their subscription at any time before the pause period ends by clicking "Resume Subscription" in Settings. Normal billing resumes immediately upon manual resumption.
- Pause Limit: Subscriptions may be paused for a maximum of two (2) consecutive months per billing cycle. Repeated back-to-back pauses may be limited at our discretion to maintain service integrity.
- No Refunds: Pause periods apply prospectively only. No refunds are issued for billing periods that occurred before the pause was initiated.
3b. Auto-Renewal Policy
- Automatic Renewal: Paid subscriptions (weekly, monthly, or annual) automatically renew at the then-current rate unless you cancel before the next billing date.
- Cancellation Window: You must cancel at least 24 hours before the current period ends to avoid being charged for the next cycle. Cancellation takes effect at period end — you retain access until then.
- How to Cancel: Cancel anytime via Settings → Subscription. You may also pause (see Section 3a) if you need temporary relief without losing your plan.
- Renewal Notices: For annual plans, we will send a renewal reminder by email at least 30 days before the renewal date.
- Failed Payments: If a renewal payment fails, we will attempt to retry up to 3 times over 7 days. After that, your account will revert to the Free tier.
3b-ii. Non-Custodial Service & Regulatory Status
FIO-PAYPATH is a non-custodial service. We do not hold, manage, control, or transfer funds on behalf of our users. FIO-PAYPATH is strictly a read-only financial management and personal finance tool (PFM). All financial data retrieved from third-party sources is used solely for display, analysis, and projection purposes within your dashboard.
Observer Status — Not an Actor: FIO-PAYPATH operates exclusively as an observer of your financial life. We retrieve and display data; we never initiate, facilitate, or instruct any movement of money. We do not accept deposits, issue credit, execute transfers, or hold balances. Adding a "Move Money," "Transfer," or "Pay" function to our platform is explicitly outside our scope of service.
EU — AISP Acknowledgment (PSD2 / Open Banking): Plaid-powered Instant Bank Snapshot is Coming Soon. To the extent FIO-PAYPATH later accesses bank account data for EU/EEA residents via a third-party aggregation partner, we will operate in a manner consistent with the role of an Account Information Service Provider (AISP) under PSD2. We will access data strictly on the basis of explicit consent and for read-only informational purposes. We do not act as a Payment Initiation Service Provider (PISP) and do not initiate any payment transactions.
USA — CFPB / PFM Safe Harbor: FIO-PAYPATH is a Personal Finance Management (PFM) tool. We maintain transparency about all data we collect and how it is used, consistent with Consumer Financial Protection Bureau (CFPB) guidance on financial data aggregation. Our "Not Financial Advice" disclaimer (Section 3c), read-only data access, and non-custodial posture are designed to keep us firmly within the PFM safe category.
Data Pipe Restriction: Manual Bank Snapshot currently relies on user-provided statement imports. If Plaid-powered Instant Bank Snapshot is enabled in the future, any aggregated financial data will be treated as sensitive information — not as assets — and will not be re-sold, re-aggregated, or otherwise monetized.
3c. Not Financial, Tax, or Investment Advice
FIO-PAYPATH is a financial management tool for information and organizational purposes only. We are not financial advisors, tax professionals, investment advisors, or legal counsel.
All projections, Monte Carlo simulations, cash-flow forecasts, debt payoff calculations, savings suggestions, AI-generated coaching insights, and scenario modeling outputs are based on mathematical algorithms applied to data you provide. They are estimates and should not be construed as professional investment, tax, retirement, or financial advice.
Users are solely responsible for all financial decisions made using this platform. FIO-Paypath, LLC, its founders, employees, and affiliates shall not be held liable for financial outcomes resulting from reliance on any information, projection, or recommendation generated by FIO-PAYPATH. Always consult a licensed financial advisor, CPA, or attorney before making significant financial decisions.
3d. Data Aggregation & Third-Party Financial Services
FIO-PAYPATH currently uses Manual Bank Snapshot through user-provided statement imports. Plaid-powered Instant Bank Snapshot and other third-party bank aggregation services are Coming Soon. If enabled, the following terms apply:
- No Credential Storage: FIO-PAYPATH does not store your bank login credentials (username, password, or PIN) on our servers. Authentication is handled directly by the third-party aggregator via encrypted tokenization.
- Read-Only Access: All bank connectivity is read-only. FIO-PAYPATH cannot initiate transfers, payments, or transactions on your behalf.
- Third-Party Responsibility: We are not responsible for the availability, accuracy, completeness, or security of services provided by third-party financial institutions or data aggregators. By connecting your accounts, you acknowledge and accept the terms and privacy policies of those third parties.
- Data Use: Aggregated financial data is used solely to populate your FIO-PAYPATH dashboard. It is never sold, shared for advertising, or used for credit scoring purposes.
- Revocation: You may revoke third-party data access at any time by disconnecting within the app or contacting us at legal@fio-paypath.com.
3e. Service Availability & Data Freshness
While we strive for 99.9% platform uptime, the following limitations apply:
- Third-Party Outages: When Plaid-powered Instant Bank Snapshot becomes available, we cannot guarantee the continuous availability of third-party financial data feeds. Periodic synchronization delays, stale balance data, or outages caused by banking APIs, Plaid, or financial institutions will not constitute a failure of service by FIO-PAYPATH.
- Data Freshness: Manual Bank Snapshot depends on the statement file you upload. Future bank transaction and balance data may be delayed depending on institution API availability. Real-time balance guarantees are not provided.
- Scheduled Maintenance: We may perform planned maintenance that temporarily interrupts service. We will provide advance notice of material downtime windows where possible.
- No SLA Guarantee: FIO-PAYPATH does not offer a formal Service Level Agreement (SLA) for personal subscription tiers. Enterprise inquiries should contact legal@fio-paypath.com.
4. User Responsibilities
You agree that you will:
- Provide accurate information when creating your account and entering financial data
- Maintain the confidentiality of your account credentials
- Notify us immediately of any unauthorized access to your account
- Not use the platform to engage in fraudulent, illegal, or harmful activities
- Not attempt to reverse-engineer, decompile, or circumvent the platform's security measures
- Not share your account credentials with third parties
5. Manual Bank Snapshot & Future Plaid Connectivity
Manual Bank Snapshot is the live feature: you upload a bank statement export to help populate your FIO-PAYPATH dashboard. Plaid-powered Instant Bank Snapshot is Coming Soon and will be optional if enabled.
We are not responsible for errors, delays, or inaccuracies in data provided by statement files, Plaid, or your financial institution. Bank data is used solely for the purpose of populating your FIO-PAYPATH dashboard and is never sold or shared for advertising.
6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FIO-PAYPATH, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including but not limited to loss of profits, missed bill payments, overdraft fees, bank penalties, investment losses, or data loss, arising from your use of or inability to use the platform, even if we have been advised of the possibility of such damages.
Our total aggregate liability to you for any claim arising under or in connection with these Terms shall not exceed the greater of (a) the total subscription fees paid by you in the 12 months preceding the claim, or (b) $100 USD.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.
7. Dispute Resolution & Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of FIO-PAYPATH shall be resolved by binding individual arbitration administered by JAMS under its Comprehensive Arbitration Rules and Procedures, except that either party may seek relief in small claims court for claims within its jurisdiction.
Class Action Waiver: You and FIO-PAYPATH each agree to resolve disputes only in an individual capacity and not as a class, collective, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.
Arbitration shall take place in Salt Lake City, Utah, USA, or via remote proceeding. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration clause.
8. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY. WE DO NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE OR THAT FINANCIAL PROJECTIONS WILL BE ACCURATE.
9. Intellectual Property
All content, software, trademarks, logos, and design elements of FIO-PAYPATH are the exclusive property of FIO-Paypath, LLC and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written consent. You retain ownership of the financial data you input into the platform.
10. Account Termination
- User-Initiated Deletion: You may delete your account at any time via Settings → Account → Delete Account.
- Company-Initiated Termination: We reserve the right to suspend or permanently terminate your account — with or without notice — for: (a) violation of these Terms; (b) fraudulent, deceptive, or abusive activity; (c) misuse of the platform including unauthorized access attempts or reverse-engineering; (d) legal or regulatory requirements; or (e) non-payment of fees.
- Effect of Termination: Upon termination for any reason, your right to access the platform ceases immediately. Active paid subscriptions are cancelled without refund for the remaining billing period when termination is company-initiated for cause.
- Data Retention: We will delete or anonymize your personal data within 30 days of account deletion, in accordance with our Privacy Policy, except where retention is required by law.
11. Governing Law & Forum Selection
Choice of Law: These Terms are governed exclusively by the laws of the State of Utah, USA, without regard to its conflict-of-law principles. This means that Utah law applies to all disputes arising from your use of FIO-PAYPATH, regardless of where you are located.
Forum Selection (Exclusive Jurisdiction): You irrevocably agree that any dispute, claim, or controversy not subject to arbitration under Section 7 shall be brought exclusively in the state or federal courts located in Salt Lake City, Utah, USA. You consent to personal jurisdiction in those courts and waive any objection based on improper venue or inconvenient forum (forum non conveniens).
EU / UK Users — Additional Notice: If you are a resident of the European Union or United Kingdom, you may also have the right to bring claims before your local consumer protection authority or supervisory authority (e.g., the ICO in the UK). This clause does not waive any mandatory consumer rights you hold under applicable EU or UK law that cannot be contractually overridden. However, to the maximum extent permitted by applicable law, you agree that any such proceedings shall be coordinated with or deferred to proceedings in Salt Lake City, Utah.
12. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated via email or in-app notice at least 14 days in advance. Your continued use of the platform after the effective date constitutes acceptance of the revised Terms.
